AFFIDAVIT RELATING TO ACADEMIC FACILITY

BEFORE ME, this undersigned authority, on this day personally appeared ____________________________, Affiant(s), being by me first duly sworn upon his/her oath, did depose and say:

1.Affiant is the ______________________ [title] of ___________________________ [name of institution of higher education] (the - Academic Institution).

2.Affiant is familiar with the facility known as ________________________________________________________ located in ______________________________________________________ (the "Facility").

3.Construction of the Facility was completed on ______________ (the "Completion Date") as evidenced by a copy of the Certificate of Occupancy/Completion, a copy of which is attached hereto.

4.[Affidavit must contain Section A and/or B. Strike or omit the inapplicable section:]

A.No funds from:

i. Part A of Title VII of the Higher Education Act of 1965, as amended (former 20 USC §§ 1132b et seq.), as such Part A was in effect prior to the date of enactment of the Higher Education Amendments of 1998 (enacted October 7, 1998); or

ii .Part B of Title VII of the Higher Education Act of 1965, as amended (former 20 USC §§ 1132c et seq.), as such Part B was in effect prior to the date of enactment of the Higher Education Amendments of 1992 (enacted July 23, 1992);

were received by the Academic Institution or used for the construction of the Facility.

or

B.During the twenty (20) years immediately following the Completion Date:

i. the Academic Institution has been either a public or nonprofit institution;

and

ii.the Facility has been used solely as an "academic facility" as that term is defined under the applicable former sections of the Higher Education Act of 1965, as amended.

Affiant makes this affidavit to the Title Company, as issuing agent for Stewart Title Guaranty Company (the "Underwriter") and the Underwriter to induce them to insure title to the Facility without exception for (or with affirmative insurance with respect to) the Higher Education Act of 1965, as amended. Affiant acknowledges and agrees that the Title Company and the Underwriter are relying upon this affidavit in the issuance of an Owner's Policy and/or Loan Policy relating to the Facility.
